TERMS AND CONDITIONS
Domestic and International Terms and conditions are as follows:
Hours of Operation: We are available by telephone between 7:00 a.m. and 4:00 p.m. US Eastern Time, Monday through Friday. Our Engineering, Production, and Sales Departments are available to discuss the aspects of your order or our products. However if your normal business hours conflict due to time zone differences, a special appointment can be arranged. You can also contact us by FAX and E-Mail 24 hours a day.
Quotation Prices:
The quoted prices for items of your inquiry are guaranteed for 60 days. After 60 days the price is subject to change. However, we do make every effort to hold quotes firm as long as possible. Upon receipt of your order, prices remain stable until filled. Discounts are available for larger volumes. All products manufactured by Crist Instrument Company, Inc. are made in the U.S.A. unless otherwise noted.
Purchase Orders:
The preferred method for ordering products, and/or customized apparatus is via a Purchase Authorization from your purchasing agent or via credit card. Credit card purchases require the card holders information as directed by federal law and banking regulations. Credit Card orders will not be charged until shipped, unless otherwise arranged. A copy of the shipping invoice will be sent to the end user or the purchasing authority at the card holders’ address. Payment in advance is acceptable in lieu of Purchase Orders. If your organization is tax or import duty exempt, please provide documentation at the time of the order. This will expedite the transfer of your goods through customs. Off-the-shelf Rush orders can be expedited for standard products (in stock only) and will be shipped within 24 hours of the receipt of the Purchase Order.
Terms for Payment:
This Agreement sets our Terms of net 30 days from the date of the Invoice for established accounts. An Invoice will be sent via Fax, e-mail or Postal Service to the responsible paying party. Payment may be arranged in several ways. Please advise which method will be best for you at time of placing your order.
Payment options include:
1) Direct payment by ACH or Wire Transfer in U.S. Dollars. We will supply banking information on request. Wire Transfer charges levied by your bank are the Buyers Responsibility.
2) A check drawn on a corresponding bank in US Dollars.
3) Payment through Visa or Master Card.
4) Letter of Credit. Payments are only accepted in US Dollars unless prior arrangements are made.
Finance charges are levied on balances not received within 45 days of the Invoice date, at a rate of 1.5% per month. Payments received 45 days after the date of the invoice will affect any discounts on future purchases which your organization may be entitled to. In event of Default: If payment is not forthcoming within 90 days of the date of the Invoice it will be considered in default of this Agreement. Crist Instrument Co., Inc. shall have the right to exercise all remedies available for collection of debt under the applicable laws of the State of Maryland. This may include but are not limited to; the entitlement to obtain, at the expense of the Purchaser, any record searches, reports, court costs and any other legal advice as may be deemed necessary to collect. The Purchasing organization agrees to pay all costs, fees, and expenses in connection with the preparation, execution, any and all other costs, fees and expenses incurred by, or on behalf of Crist Instrument Co., Inc. without limitation. This includes attorney fees and expenses, and enforcement Costs.
Ownership of Design and Related Documents:
All drawings, specifications, magnetic or electronic media, including without limitation, software, calculations, and other information gained, resulting from your purchase of custom items which are designed by Crist Instrument Company, Inc., shall remain the property of Crist Instrument. (Any other ownership must be agreed on in writing by both parties at an agreed upon price). All design work as defined above is not subject to use by others without the express written permission of Crist Instrument Company, Inc. All materials as described above containing proprietary information shall be returned to Crist Instrument Company, Inc. at the Buyer’s expense.
Returns:
We make every effort to prevent customers from returning goods that may be contaminated or cross contaminated. Crist Instrument Company, Inc. return Policy under the following conditions are:
1) Any Products that have been in direct or indirect contact with animals cannot be returned.
2) Products that are acceptable for return will be charged a 25% restocking fee, with the exception of returns for modifications or repair.
3) Returns within 60 days. No returns allowed after that time period.
4) Products being returned for any reason, including modification or repair require a Return Material Authorization number (RMA #).
5) Products being returned for warranty repair will have a shipping label emailed or faxed to the responsible person. This label should be attached to the outside of the box being shipped.
Products being returned for repair or modification that have been in contact with animals must be thoroughly cleaned prior to shipping. If they are not cleaned before we receive them, they will be returned at your expense and will be subject to additional shipping and handling fees.
Warranties:
Crist Instrument Co., Inc. warrants, to the original end user only. Our products will substantially conform to the specifications as designed and are substantially free from defects in material and workmanship. Provided that Crist Instrument Co., Inc. is notified of defects within the warranty period (set forth below) and in accordance with paragraphs as detailed here, we will correct noted defects in materials and/or workmanship. The warranty begins from the date of product delivery with respect to the products as listed below:
Section 1
Primate Chair bodies and attached accessories to the body only, six months. This warranty will be voided if plastic parts are cleaned with non-compatible solutions and/or if this product is subjected to harsh treatment in a cage washer or if any of these products above have had harsh treatment. Aluminum Chair Bases and Trolleys are warranted for a period of one year.
Section 2
Poles and collars are warranted for a period of one year.
Section 3
Miniature Microdrive’s are warranted for a period of 90 days.
Section 4
Touch Panel Sensors are warranted for a period of 6 months. Commutators are warranted for a period of 1 year.
Section 5
Reward Systems are warranted for a period of 6 months except for Solenoids. Solenoids located on the Dispenser Unit are warranted for period of 3 months due to material failure UNLESS this item shows evidence of overheating as a result of customer failure by leaving this product turned to the Drain Setting. Warranty also does not extend to failure due to pulp clogs.
Section 6
Metal devices are warranted for a period of one year for defects in materials or workmanship only. Plastic devices are warranted for a period of 90 days. A Warranty is voided if temperatures exceed manufacturers’ recommendation for the particular type of plastic, or if during application the product is subject to excessively rapid heating and cooling.
Section 7
Search Coils, Eye Tracking Controllers and optical devices manufactured by Crist Instrument Co., Inc. are warranted for a period of one year.
Section 8
Laminated products are warranted for a period of one year. Warranty may be voided if product is subjected to high pressure steam or high pressure water or harsh chemicals for cleaning.
Section 9
Stereotaxic Frames are warranted for a period of one year.
If the purchaser discovers, within the warranty period, a defect of the product in question, the purchaser must notify Crist Instrument Co., Inc. The Purchaser will receive instructions regarding return and/or replacement procedures. All repairs will be performed at the Crist Instrument Co., Inc. facility in Hagerstown, Maryland unless otherwise advised.
Crist Instrument Co., Inc. does not warrant any products, components or parts not manufactured by Crist Instrument Co., Inc., or the compatibility with 3rd party products. Defects caused by the purchaser’s failure to provide a suitable installation environment for the product, damage caused by the use of the product for purposes other than those for which was intended. Or damage caused by disasters such as fire, flood, wind or lightening, unless and to the extent that the product specification provides for a resistance to a defined disaster, acts of vandalism or terrorism, damage caused by unauthorized modifications, attachments, or any misuse by the purchaser. Part specifications may change at the discretion of Crist Instrument Co., Inc. are also not covered by warranty.
Termination:
Notwithstanding any contrary terms contained above, the Buyer shall have the right at their discretion, up to five (5) days to cancel the order or any contract following acceptance. Crist Instrument must be notified in writing of the cancellation. The Buyer will be obligated to pay for any costs, which have been incurred by Crist Instrument Company, Inc. prior to the date of termination. Plus a normally accepted trade allowance on such costs as full payment of overhead and profit, provided. However, in no event shall the Buyer be obligated to pay an amount in excess of the amount set out in the Buyer’s order for the items or services being canceled.
Shipping Procedures:
Small orders are shipped UPS (United Parcel Service) or Federal Express unless specified otherwise. Large Orders such as large laboratory set-ups are shipped by freight truck or airfreight by the most cost effective shipper available at the time. If your Organization has a shipper or broker of preference, we will use your shipper. The cost of Shipping and Handling including insurance will be added to your order. Charges for duties and other expenses (brokerage fees or value added taxes) are the responsibility of the Buyer*. Shipping charges are usually prepaid and added to your order unless we are directed otherwise and other arrangements are made to cover these expenses, when the Order is placed.
*INTERNATIONAL CUSTOMERS: At the time of your order please provide Crist Instrument Company, Inc. with any of the following information: 1. V.A.T. Exemption Certificates 2. Broker Information
We realize that the products our clients order are often needed on a time limited basis. This information will help speed your shipment through Customs.
